     33THE ACCOMPANYING PROGRAM IS PROVIDED UNDER THE TERMS OF THIS ECLIPSE

     37*1. DEFINITIONS*

     39&quot;Contribution&quot; means:

     41a) in the case of the initial Contributor, the initial code and 
     42documentation distributed under this Agreement, and 
     43b) in the case of each subsequent Contributor:

     45i) changes to the Program, and 
     46 
     47ii) additions to the Program; 
     48 
     49where such changes and/or additions to the Program originate from and 
     50are distributed by that particular Contributor. A Contribution 
     51&apos;originates&apos; from a Contributor if it was added to the Program by such 
     52Contributor itself or anyone acting on such Contributor&apos;s behalf. 
     53Contributions do not include additions to the Program which: (i) are 
     54separate modules of software distributed in conjunction with the Program 
     55under their own license agreement, and (ii) are not derivative works of 
     56the Program. 
     57 
     58&quot;Contributor&quot; means any person or entity that distributes the Program. 
     59 
     60&quot;Licensed Patents &quot; mean patent claims licensable by a Contributor which 
     61are necessarily infringed by the use or sale of its Contribution alone 
     62or when combined with the Program. 
     63 
     64&quot;Program&quot; means the Contributions distributed in accordance with this 
     65Agreement. 
     66 
     67&quot;Recipient&quot; means anyone who receives the Program under this Agreement, 
     68including all Contributors. 
     69 
     70*2. GRANT OF RIGHTS* 
     71 
     72a) Subject to the terms of this Agreement, each Contributor hereby 
     73grants Recipient a non-exclusive, worldwide, royalty-free copyright 
     74license to reproduce, prepare derivative works of, publicly display, 
     75publicly perform, distribute and sublicense the Contribution of such 
     76Contributor, if any, and such derivative works, in source code and 
     77object code form. 
     78 
     79b) Subject to the terms of this Agreement, each Contributor hereby 
     80grants Recipient a non-exclusive, worldwide, royalty-free patent license 
     81under Licensed Patents to make, use, sell, offer to sell, import and 
     82otherwise transfer the Contribution of such Contributor, if any, in 
     83source code and object code form. This patent license shall apply to the 
     84combination of the Contribution and the Program if, at the time the 
     85Contribution is added by the Contributor, such addition of the 
     86Contribution causes such combination to be covered by the Licensed 
     87Patents. The patent license shall not apply to any other combinations 
     88which include the Contribution. No hardware per se is licensed hereunder. 
     89 
     90c) Recipient understands that although each Contributor grants the 
     91licenses to its Contributions set forth herein, no assurances are 
     92provided by any Contributor that the Program does not infringe the 
     93patent or other intellectual property rights of any other entity. Each 
     94Contributor disclaims any liability to Recipient for claims brought by 
     95any other entity based on infringement of intellectual property rights 
     96or otherwise. As a condition to exercising the rights and licenses 
     97granted hereunder, each Recipient hereby assumes sole responsibility to 
     98secure any other intellectual property rights needed, if any. For 
     99example, if a third party patent license is required to allow Recipient 
     100to distribute the Program, it is Recipient&apos;s responsibility to acquire 
     101that license before distributing the Program. 
     102 
     103d) Each Contributor represents that to its knowledge it has sufficient 
     104copyright rights in its Contribution, if any, to grant the copyright 
     105license set forth in this Agreement. 
     106 
     107*3. REQUIREMENTS* 
     108 
     109A Contributor may choose to distribute the Program in object code form 
     110under its own license agreement, provided that: 
     111 
     112a) it complies with the terms and conditions of this Agreement; and 
     113 
     114b) its license agreement: 
     115 
     116i) effectively disclaims on behalf of all Contributors all warranties 
     117and conditions, express and implied, including warranties or conditions 
     118of title and non-infringement, and implied warranties or conditions of 
     119merchantability and fitness for a particular purpose; 
     120 
     121ii) effectively excludes on behalf of all Contributors all liability for 
     122damages, including direct, indirect, special, incidental and 
     123consequential damages, such as lost profits; 
     124 
     125iii) states that any provisions which differ from this Agreement are 
     126offered by that Contributor alone and not by any other party; and 
     127 
     128iv) states that source code for the Program is available from such 
     129Contributor, and informs licensees how to obtain it in a reasonable 
     130manner on or through a medium customarily used for software exchange. 
     131 
     132When the Program is made available in source code form: 
     133 
     134a) it must be made available under this Agreement; and 
     135 
     136b) a copy of this Agreement must be included with each copy of the Program. 
     137 
     138Contributors may not remove or alter any copyright notices contained 
     139within the Program. 
     140 
     141Each Contributor must identify itself as the originator of its 
     142Contribution, if any, in a manner that reasonably allows subsequent 
     143Recipients to identify the originator of the Contribution. 
     144 
     145*4. COMMERCIAL DISTRIBUTION* 
     146 
     147Commercial distributors of software may accept certain responsibilities 
     148with respect to end users, business partners and the like. While this 
     149license is intended to facilitate the commercial use of the Program, the 
     150Contributor who includes the Program in a commercial product offering 
     151should do so in a manner which does not create potential liability for 
     152other Contributors. Therefore, if a Contributor includes the Program in 
     153a commercial product offering, such Contributor (&quot;Commercial 
     154Contributor&quot;) hereby agrees to defend and indemnify every other 
     155Contributor (&quot;Indemnified Contributor&quot;) against any losses, damages and 
     156costs (collectively &quot;Losses&quot;) arising from claims, lawsuits and other 
     157legal actions brought by a third party against the Indemnified 
     158Contributor to the extent caused by the acts or omissions of such 
     159Commercial Contributor in connection with its distribution of the 
     160Program in a commercial product offering. The obligations in this 
     161section do not apply to any claims or Losses relating to any actual or 
     162alleged intellectual property infringement. In order to qualify, an 
     163Indemnified Contributor must: a) promptly notify the Commercial 
     164Contributor in writing of such claim, and b) allow the Commercial 
     165Contributor to control, and cooperate with the Commercial Contributor 
     166in, the defense and any related settlement negotiations. The Indemnified 
     167Contributor may participate in any such claim at its own expense. 
     168 
     169For example, a Contributor might include the Program in a commercial 
     170product offering, Product X. That Contributor is then a Commercial 
     171Contributor. If that Commercial Contributor then makes performance 
     172claims, or offers warranties related to Product X, those performance 
     173claims and warranties are such Commercial Contributor&apos;s responsibility 
     174alone. Under this section, the Commercial Contributor would have to 
     175defend claims against the other Contributors related to those 
     176performance claims and warranties, and if a court requires any other 
     177Contributor to pay any damages as a result, the Commercial Contributor 
     178must pay those damages. 
     179 
     180*5. NO WARRANTY* 
     181 
     182EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS PROVIDED 
     183ON AN &quot;AS IS&quot; BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, 
     184EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES 
     185OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR 
     186A PARTICULAR PURPOSE. Each Recipient is solely responsible for 
     187determining the appropriateness of using and distributing the Program 
     188and assumes all risks associated with its exercise of rights under this 
     189Agreement , including but not limited to the risks and costs of program 
     190errors, compliance with applicable laws, damage to or loss of data, 
     191programs or equipment, and unavailability or interruption of operations. 
     192 
     193*6. DISCLAIMER OF LIABILITY* 
     194 
     195EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER RECIPIENT NOR 
     196ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT, 
     197INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING 
     198WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF 
     199LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING 
     200NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR 
     201DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED 
     202HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 
     203 
     204*7. GENERAL* 
     205 
     206If any provision of this Agreement is invalid or unenforceable under 
     207applicable law, it shall not affect the validity or enforceability of 
     208the remainder of the terms of this Agreement, and without further action 
     209by the parties hereto, such provision shall be reformed to the minimum 
     210extent necessary to make such provision valid and enforceable. 
     211 
     212If Recipient institutes patent litigation against any entity (including 
     213a cross-claim or counterclaim in a lawsuit) alleging that the Program 
     214itself (excluding combinations of the Program with other software or 
     215hardware) infringes such Recipient&apos;s patent(s), then such Recipient&apos;s 
     216rights granted under Section 2(b) shall terminate as of the date such 
     217litigation is filed. 
     218 
     219All Recipient&apos;s rights under this Agreement shall terminate if it fails 
     220to comply with any of the material terms or conditions of this Agreement 
     221and does not cure such failure in a reasonable period of time after 
     222becoming aware of such noncompliance. If all Recipient&apos;s rights under 
     223this Agreement terminate, Recipient agrees to cease use and distribution 
     224of the Program as soon as reasonably practicable. However, Recipient&apos;s 
     225obligations under this Agreement and any licenses granted by Recipient 
     226relating to the Program shall continue and survive. 
     227 
     228Everyone is permitted to copy and distribute copies of this Agreement, 
     229but in order to avoid inconsistency the Agreement is copyrighted and may 
     230only be modified in the following manner. The Agreement Steward reserves 
     231the right to publish new versions (including revisions) of this 
     232Agreement from time to time. No one other than the Agreement Steward has 
     233the right to modify this Agreement. The Eclipse Foundation is the 
     234initial Agreement Steward. The Eclipse Foundation may assign the 
     235responsibility to serve as the Agreement Steward to a suitable separate 
     236entity. Each new version of the Agreement will be given a distinguishing 
     237version number. The Program (including Contributions) may always be 
     238distributed subject to the version of the Agreement under which it was 
     239received. In addition, after a new version of the Agreement is 
     240published, Contributor may elect to distribute the Program (including 
     241its Contributions) under the new version. Except as expressly stated in 
     242Sections 2(a) and 2(b) above, Recipient receives no rights or licenses 
     243to the intellectual property of any Contributor under this Agreement, 
     244whether expressly, by implication, estoppel or otherwise. All rights in 
     245the Program not expressly granted under this Agreement are reserved. 
     246 
     247This Agreement is governed by the laws of the State of New York and the 
     248intellectual property laws of the United States of America. No party to 
     249this Agreement will bring a legal action under this Agreement more than 
     250one year after the cause of action arose. Each party waives its rights 
     251to a jury trial in any resulting litigation.
