     16<p><b><span style="font-size: 10pt;">1. DEFINITIONS</span></b> </p>

     18<p><span style="font-size: 10pt;">"Contribution" means:</span> </p>

     21in the case of the initial Contributor, the initial code and documentation 
     22distributed under this Agreement, and<br clear="left"> 
     23b) in the case of each subsequent Contributor:</span></p>

     25<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">i) 
     26changes to the Program, and</span></p> 
     27 
     28<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">ii) 
     29additions to the Program;</span></p> 
     30 
     31<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">where 
     32such changes and/or additions to the Program originate from and are distributed 
     33by that particular Contributor. A Contribution 'originates' from a Contributor 
     34if it was added to the Program by such Contributor itself or anyone acting on 
     35such Contributor's behalf. Contributions do not include additions to the 
     36Program which: (i) are separate modules of software distributed in conjunction 
     37with the Program under their own license agreement, and (ii) are not derivative 
     38works of the Program. </span></p> 
     39 
     40<p><span style="font-size: 10pt;">"Contributor" means any person or 
     41entity that distributes the Program.</span> </p> 
     42 
     43<p><span style="font-size: 10pt;">"Licensed Patents " mean patent 
     44claims licensable by a Contributor which are necessarily infringed by the use 
     45or sale of its Contribution alone or when combined with the Program. </span></p> 
     46 
     47<p><span style="font-size: 10pt;">"Program" means the Contributions 
     48distributed in accordance with this Agreement.</span> </p> 
     49 
     50<p><span style="font-size: 10pt;">"Recipient" means anyone who 
     51receives the Program under this Agreement, including all Contributors.</span> </p> 
     52 
     53<p><b><span style="font-size: 10pt;">2. GRANT OF RIGHTS</span></b> </p> 
     54 
     55<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">a) 
     56Subject to the terms of this Agreement, each Contributor hereby grants Recipient 
     57a non-exclusive, worldwide, royalty-free copyright license to<span style="color: red;"> </span>reproduce, prepare derivative works of, publicly 
     58display, publicly perform, distribute and sublicense the Contribution of such 
     59Contributor, if any, and such derivative works, in source code and object code 
     60form.</span></p> 
     61 
     62<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">b) 
     63Subject to the terms of this Agreement, each Contributor hereby grants 
     64Recipient a non-exclusive, worldwide,<span style="color: green;"> </span>royalty-free 
     65patent license under Licensed Patents to make, use, sell, offer to sell, import 
     66and otherwise transfer the Contribution of such Contributor, if any, in source 
     67code and object code form. This patent license shall apply to the combination 
     68of the Contribution and the Program if, at the time the Contribution is added 
     69by the Contributor, such addition of the Contribution causes such combination 
     70to be covered by the Licensed Patents. The patent license shall not apply to 
     71any other combinations which include the Contribution. No hardware per se is 
     72licensed hereunder. </span></p> 
     73 
     74<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">c) 
     75Recipient understands that although each Contributor grants the licenses to its 
     76Contributions set forth herein, no assurances are provided by any Contributor 
     77that the Program does not infringe the patent or other intellectual property 
     78rights of any other entity. Each Contributor disclaims any liability to Recipient 
     79for claims brought by any other entity based on infringement of intellectual 
     80property rights or otherwise. As a condition to exercising the rights and 
     81licenses granted hereunder, each Recipient hereby assumes sole responsibility 
     82to secure any other intellectual property rights needed, if any. For example, 
     83if a third party patent license is required to allow Recipient to distribute 
     84the Program, it is Recipient's responsibility to acquire that license before 
     85distributing the Program.</span></p> 
     86 
     87<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">d) 
     88Each Contributor represents that to its knowledge it has sufficient copyright 
     89rights in its Contribution, if any, to grant the copyright license set forth in 
     90this Agreement. </span></p> 
     91 
     92<p><b><span style="font-size: 10pt;">3. REQUIREMENTS</span></b> </p> 
     93 
     94<p><span style="font-size: 10pt;">A Contributor may choose to distribute the 
     95Program in object code form under its own license agreement, provided that:</span> 
     96 
     97</p> 
     98 
     99<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">a) 
     100it complies with the terms and conditions of this Agreement; and</span></p> 
     101 
     102<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">b) 
     103its license agreement:</span></p> 
     104 
     105<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">i) 
     106effectively disclaims on behalf of all Contributors all warranties and 
     107conditions, express and implied, including warranties or conditions of title 
     108and non-infringement, and implied warranties or conditions of merchantability 
     109and fitness for a particular purpose; </span></p> 
     110 
     111<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">ii) 
     112effectively excludes on behalf of all Contributors all liability for damages, 
     113including direct, indirect, special, incidental and consequential damages, such 
     114as lost profits; </span></p> 
     115 
     116<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">iii) 
     117states that any provisions which differ from this Agreement are offered by that 
     118Contributor alone and not by any other party; and</span></p> 
     119 
     120<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">iv) 
     121states that source code for the Program is available from such Contributor, and 
     122informs licensees how to obtain it in a reasonable manner on or through a 
     123medium customarily used for software exchange.<span style="color: blue;"> </span></span></p> 
     124 
     125<p><span style="font-size: 10pt;">When the Program is made available in source 
     126code form:</span> </p> 
     127 
     128<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">a) 
     129it must be made available under this Agreement; and </span></p> 
     130 
     131<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">b) a 
     132copy of this Agreement must be included with each copy of the Program. </span></p> 
     133 
     134<p><span style="font-size: 10pt;">Contributors may not remove or alter any 
     135copyright notices contained within the Program. </span></p> 
     136 
     137<p><span style="font-size: 10pt;">Each Contributor must identify itself as the 
     138originator of its Contribution, if any, in a manner that reasonably allows 
     139subsequent Recipients to identify the originator of the Contribution. </span></p> 
     140 
     141<p><b><span style="font-size: 10pt;">4. COMMERCIAL DISTRIBUTION</span></b> </p> 
     142 
     143<p><span style="font-size: 10pt;">Commercial distributors of software may 
     144accept certain responsibilities with respect to end users, business partners 
     145and the like. While this license is intended to facilitate the commercial use 
     146of the Program, the Contributor who includes the Program in a commercial 
     147product offering should do so in a manner which does not create potential 
     148liability for other Contributors. Therefore, if a Contributor includes the 
     149Program in a commercial product offering, such Contributor ("Commercial 
     150Contributor") hereby agrees to defend and indemnify every other 
     151Contributor ("Indemnified Contributor") against any losses, damages and 
     152costs (collectively "Losses") arising from claims, lawsuits and other 
     153legal actions brought by a third party against the Indemnified Contributor to 
     154the extent caused by the acts or omissions of such Commercial Contributor in 
     155connection with its distribution of the Program in a commercial product 
     156offering. The obligations in this section do not apply to any claims or Losses 
     157relating to any actual or alleged intellectual property infringement. In order 
     158to qualify, an Indemnified Contributor must: a) promptly notify the Commercial 
     159Contributor in writing of such claim, and b) allow the Commercial Contributor 
     160to control, and cooperate with the Commercial Contributor in, the defense and 
     161any related settlement negotiations. The Indemnified Contributor may participate 
     162in any such claim at its own expense.</span> </p> 
     163 
     164<p><span style="font-size: 10pt;">For example, a Contributor might include the 
     165Program in a commercial product offering, Product X. That Contributor is then a 
     166Commercial Contributor. If that Commercial Contributor then makes performance 
     167claims, or offers warranties related to Product X, those performance claims and 
     168warranties are such Commercial Contributor's responsibility alone. Under this 
     169section, the Commercial Contributor would have to defend claims against the 
     170other Contributors related to those performance claims and warranties, and if a 
     171court requires any other Contributor to pay any damages as a result, the 
     172Commercial Contributor must pay those damages.</span> </p> 
     173 
     174<p><b><span style="font-size: 10pt;">5. NO WARRANTY</span></b> </p> 
     175 
     176<p><span style="font-size: 10pt;">EXCEPT AS EXPRESSLY SET FORTH IN THIS 
     177AGREEMENT, THE PROGRAM IS PROVIDED ON AN "AS IS" BASIS, WITHOUT 
     178WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, 
     179WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT, 
     180MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely 
     181responsible for determining the appropriateness of using and distributing the 
     182Program and assumes all risks associated with its exercise of rights under this 
     183Agreement , including but not limited to the risks and costs of program errors, 
     184compliance with applicable laws, damage to or loss of data, programs or 
     185equipment, and unavailability or interruption of operations. </span></p> 
     186 
     187<p><b><span style="font-size: 10pt;">6. DISCLAIMER OF LIABILITY</span></b> </p> 
     188 
     189<p><span style="font-size: 10pt;">EXCEPT AS EXPRESSLY SET FORTH IN THIS 
     190AGREEMENT, NEITHER RECIPIENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR 
     191ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES 
     192(INCLUDING WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY 
     193OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING 
     194NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF 
     195THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF 
     196THE POSSIBILITY OF SUCH DAMAGES.</span> </p> 
     197 
     198<p><b><span style="font-size: 10pt;">7. GENERAL</span></b> </p> 
     199 
     200<p><span style="font-size: 10pt;">If any provision of this Agreement is invalid 
     201or unenforceable under applicable law, it shall not affect the validity or 
     202enforceability of the remainder of the terms of this Agreement, and without 
     203further action by the parties hereto, such provision shall be reformed to the 
     204minimum extent necessary to make such provision valid and enforceable.</span> </p> 
     205 
     206<p><span style="font-size: 10pt;">If Recipient institutes patent litigation 
     207against any entity (including a cross-claim or counterclaim in a lawsuit) 
     208alleging that the Program itself (excluding combinations of the Program with 
     209other software or hardware) infringes such Recipient's patent(s), then such 
     210Recipient's rights granted under Section 2(b) shall terminate as of the date 
     211such litigation is filed. </span></p> 
     212 
     213<p><span style="font-size: 10pt;">All Recipient's rights under this Agreement 
     214shall terminate if it fails to comply with any of the material terms or 
     215conditions of this Agreement and does not cure such failure in a reasonable 
     216period of time after becoming aware of such noncompliance. If all Recipient's 
     217rights under this Agreement terminate, Recipient agrees to cease use and 
     218distribution of the Program as soon as reasonably practicable. However, 
     219Recipient's obligations under this Agreement and any licenses granted by 
     220Recipient relating to the Program shall continue and survive. </span></p> 
     221 
     222<p><span style="font-size: 10pt;">Everyone is permitted to copy and distribute 
     223copies of this Agreement, but in order to avoid inconsistency the Agreement is 
     224copyrighted and may only be modified in the following manner. The Agreement 
     225Steward reserves the right to publish new versions (including revisions) of 
     226this Agreement from time to time. No one other than the Agreement Steward has 
     227the right to modify this Agreement. The Eclipse Foundation is the initial 
     228Agreement Steward. The Eclipse Foundation may assign the responsibility to 
     229serve as the Agreement Steward to a suitable separate entity. Each new version 
     230of the Agreement will be given a distinguishing version number. The Program 
     231(including Contributions) may always be distributed subject to the version of 
     232the Agreement under which it was received. In addition, after a new version of 
     233the Agreement is published, Contributor may elect to distribute the Program 
     234(including its Contributions) under the new version. Except as expressly stated 
     235in Sections 2(a) and 2(b) above, Recipient receives no rights or licenses to 
     236the intellectual property of any Contributor under this Agreement, whether 
     237expressly, by implication, estoppel or otherwise. All rights in the Program not 
     238expressly granted under this Agreement are reserved.</span> </p> 
     239 
     240<p><span style="font-size: 10pt;">This Agreement is governed by the laws of the 
     241State of New York and the intellectual property laws of the United States of 
     242America. No party to this Agreement will bring a legal action under this 
     243Agreement more than one year after the cause of action arose. Each party waives 
     244its rights to a jury trial in any resulting litigation.</span> </p>
