53b) in the case of each subsequent Contributor:

59where such changes and/or additions to the Program originate from and
60are distributed by that particular Contributor. A Contribution
61&apos;originates&apos; from a Contributor if it was added to the Program by such
62Contributor itself or anyone acting on such Contributor&apos;s behalf.
63Contributions do not include additions to the Program which: (i) are
64separate modules of software distributed in conjunction with the Program
65under their own license agreement, and (ii) are not derivative works of
66the Program.

68&quot;Contributor&quot; means any person or entity that distributes the Program.

70&quot;Licensed Patents &quot; mean patent claims licensable by a Contributor which
71are necessarily infringed by the use or sale of its Contribution alone
72or when combined with the Program.

74&quot;Program&quot; means the Contributions distributed in accordance with this
75Agreement.

77&quot;Recipient&quot; means anyone who receives the Program under this Agreement,
78including all Contributors.

80*2. GRANT OF RIGHTS*

82a) Subject to the terms of this Agreement, each Contributor hereby
83grants Recipient a non-exclusive, worldwide, royalty-free copyright
84license to reproduce, prepare derivative works of, publicly display,
85publicly perform, distribute and sublicense the Contribution of such
86Contributor, if any, and such derivative works, in source code and
87object code form.

89b) Subject to the terms of this Agreement, each Contributor hereby
90grants Recipient a non-exclusive, worldwide, royalty-free patent license
91under Licensed Patents to make, use, sell, offer to sell, import and
92otherwise transfer the Contribution of such Contributor, if any, in
93source code and object code form. This patent license shall apply to the
94combination of the Contribution and the Program if, at the time the
95Contribution is added by the Contributor, such addition of the
96Contribution causes such combination to be covered by the Licensed
97Patents. The patent license shall not apply to any other combinations
98which include the Contribution. No hardware per se is licensed hereunder.

100c) Recipient understands that although each Contributor grants the
101licenses to its Contributions set forth herein, no assurances are
102provided by any Contributor that the Program does not infringe the
103patent or other intellectual property rights of any other entity. Each
104Contributor disclaims any liability to Recipient for claims brought by
105any other entity based on infringement of intellectual property rights
106or otherwise. As a condition to exercising the rights and licenses
107granted hereunder, each Recipient hereby assumes sole responsibility to
108secure any other intellectual property rights needed, if any. For
109example, if a third party patent license is required to allow Recipient
110to distribute the Program, it is Recipient&apos;s responsibility to acquire
111that license before distributing the Program.

113d) Each Contributor represents that to its knowledge it has sufficient
114copyright rights in its Contribution, if any, to grant the copyright
115license set forth in this Agreement.

117*3. REQUIREMENTS*

119A Contributor may choose to distribute the Program in object code form
120under its own license agreement, provided that:

122a) it complies with the terms and conditions of this Agreement; and

124b) its license agreement:

126i) effectively disclaims on behalf of all Contributors all warranties
127and conditions, express and implied, including warranties or conditions
128of title and non-infringement, and implied warranties or conditions of
129merchantability and fitness for a particular purpose;
130
131ii) effectively excludes on behalf of all Contributors all liability for
132damages, including direct, indirect, special, incidental and
133consequential damages, such as lost profits;
134
135iii) states that any provisions which differ from this Agreement are
136offered by that Contributor alone and not by any other party; and
137
138iv) states that source code for the Program is available from such
139Contributor, and informs licensees how to obtain it in a reasonable
140manner on or through a medium customarily used for software exchange.

142When the Program is made available in source code form:

144a) it must be made available under this Agreement; and
145
146b) a copy of this Agreement must be included with each copy of the Program.

148Contributors may not remove or alter any copyright notices contained
149within the Program.

151Each Contributor must identify itself as the originator of its
152Contribution, if any, in a manner that reasonably allows subsequent
153Recipients to identify the originator of the Contribution.

155*4. COMMERCIAL DISTRIBUTION*

157Commercial distributors of software may accept certain responsibilities
158with respect to end users, business partners and the like. While this
159license is intended to facilitate the commercial use of the Program, the
160Contributor who includes the Program in a commercial product offering
161should do so in a manner which does not create potential liability for
162other Contributors. Therefore, if a Contributor includes the Program in
163a commercial product offering, such Contributor (&quot;Commercial
164Contributor&quot;) hereby agrees to defend and indemnify every other
165Contributor (&quot;Indemnified Contributor&quot;) against any losses, damages and
166costs (collectively &quot;Losses&quot;) arising from claims, lawsuits and other
167legal actions brought by a third party against the Indemnified
168Contributor to the extent caused by the acts or omissions of such
169Commercial Contributor in connection with its distribution of the
170Program in a commercial product offering. The obligations in this
171section do not apply to any claims or Losses relating to any actual or
172alleged intellectual property infringement. In order to qualify, an
173Indemnified Contributor must: a) promptly notify the Commercial
174Contributor in writing of such claim, and b) allow the Commercial
175Contributor to control, and cooperate with the Commercial Contributor
176in, the defense and any related settlement negotiations. The Indemnified
177Contributor may participate in any such claim at its own expense.

179For example, a Contributor might include the Program in a commercial
180product offering, Product X. That Contributor is then a Commercial
181Contributor. If that Commercial Contributor then makes performance
182claims, or offers warranties related to Product X, those performance
183claims and warranties are such Commercial Contributor&apos;s responsibility
184alone. Under this section, the Commercial Contributor would have to
185defend claims against the other Contributors related to those
186performance claims and warranties, and if a court requires any other
187Contributor to pay any damages as a result, the Commercial Contributor
188must pay those damages.

190*5. NO WARRANTY*

192EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS PROVIDED
193ON AN &quot;AS IS&quot; BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND,
194EITHER EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES
195OR CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR
196A PARTICULAR PURPOSE. Each Recipient is solely responsible for
197determining the appropriateness of using and distributing the Program
198and assumes all risks associated with its exercise of rights under this
199Agreement , including but not limited to the risks and costs of program
200errors, compliance with applicable laws, damage to or loss of data,
201programs or equipment, and unavailability or interruption of operations.

203*6. DISCLAIMER OF LIABILITY*

205EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER RECIPIENT NOR
206ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT,
207INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING
208WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF
209LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
210NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR
211DISTRIBUTION OF THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED
212HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

214*7. GENERAL*

216If any provision of this Agreement is invalid or unenforceable under
217applicable law, it shall not affect the validity or enforceability of
218the remainder of the terms of this Agreement, and without further action
219by the parties hereto, such provision shall be reformed to the minimum
220extent necessary to make such provision valid and enforceable.

222If Recipient institutes patent litigation against any entity (including
223a cross-claim or counterclaim in a lawsuit) alleging that the Program
224itself (excluding combinations of the Program with other software or
225hardware) infringes such Recipient&apos;s patent(s), then such Recipient&apos;s
226rights granted under Section 2(b) shall terminate as of the date such
227litigation is filed.

229All Recipient&apos;s rights under this Agreement shall terminate if it fails
230to comply with any of the material terms or conditions of this Agreement
231and does not cure such failure in a reasonable period of time after
232becoming aware of such noncompliance. If all Recipient&apos;s rights under
233this Agreement terminate, Recipient agrees to cease use and distribution
234of the Program as soon as reasonably practicable. However, Recipient&apos;s
235obligations under this Agreement and any licenses granted by Recipient
236relating to the Program shall continue and survive.

238Everyone is permitted to copy and distribute copies of this Agreement,
239but in order to avoid inconsistency the Agreement is copyrighted and may
240only be modified in the following manner. The Agreement Steward reserves
241the right to publish new versions (including revisions) of this
242Agreement from time to time. No one other than the Agreement Steward has
243the right to modify this Agreement. The Eclipse Foundation is the
244initial Agreement Steward. The Eclipse Foundation may assign the
245responsibility to serve as the Agreement Steward to a suitable separate
246entity. Each new version of the Agreement will be given a distinguishing
247version number. The Program (including Contributions) may always be
248distributed subject to the version of the Agreement under which it was
249received. In addition, after a new version of the Agreement is
250published, Contributor may elect to distribute the Program (including
251its Contributions) under the new version. Except as expressly stated in
252Sections 2(a) and 2(b) above, Recipient receives no rights or licenses
253to the intellectual property of any Contributor under this Agreement,
254whether expressly, by implication, estoppel or otherwise. All rights in
255the Program not expressly granted under this Agreement are reserved.

257This Agreement is governed by the laws of the State of New York and the
258intellectual property laws of the United States of America. No party to
259this Agreement will bring a legal action under this Agreement more than
260one year after the cause of action arose. Each party waives its rights
261to a jury trial in any resulting litigation.
