81<p><span style="font-size: 10pt;">THE ACCOMPANYING PROGRAM IS PROVIDED UNDER
82THE TERMS OF THIS ECLIPSE PUBLIC LICENSE ("AGREEMENT"). ANY USE,
83REPRODUCTION OR DISTRIBUTION OF THE PROGRAM CONSTITUTES RECIPIENT'S ACCEPTANCE
84OF THIS AGREEMENT.</span> </p>

86<p><b><span style="font-size: 10pt;">1. DEFINITIONS</span></b> </p>

91in the case of the initial Contributor, the initial code and documentation
92distributed under this Agreement, and<br clear="left">
93b) in the case of each subsequent Contributor:</span></p>

96changes to the Program, and</span></p>

102such changes and/or additions to the Program originate from and are distributed
103by that particular Contributor. A Contribution 'originates' from a Contributor
104if it was added to the Program by such Contributor itself or anyone acting on
105such Contributor's behalf. Contributions do not include additions to the
106Program which: (i) are separate modules of software distributed in conjunction
107with the Program under their own license agreement, and (ii) are not derivative
108works of the Program. </span></p>

110<p><span style="font-size: 10pt;">"Contributor" means any person or
111entity that distributes the Program.</span> </p>

113<p><span style="font-size: 10pt;">"Licensed Patents " mean patent
114claims licensable by a Contributor which are necessarily infringed by the use
115or sale of its Contribution alone or when combined with the Program. </span></p>

117<p><span style="font-size: 10pt;">"Program" means the Contributions
118distributed in accordance with this Agreement.</span> </p>

120<p><span style="font-size: 10pt;">"Recipient" means anyone who
121receives the Program under this Agreement, including all Contributors.</span> </p>

123<p><b><span style="font-size: 10pt;">2. GRANT OF RIGHTS</span></b> </p>

125<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">a)
126Subject to the terms of this Agreement, each Contributor hereby grants Recipient
127a non-exclusive, worldwide, royalty-free copyright license to<span style="color: red;"> </span>reproduce, prepare derivative works of, publicly
128display, publicly perform, distribute and sublicense the Contribution of such
129Contributor, if any, and such derivative works, in source code and object code
130form.</span></p>

132<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">b)
133Subject to the terms of this Agreement, each Contributor hereby grants
134Recipient a non-exclusive, worldwide,<span style="color: green;"> </span>royalty-free
135patent license under Licensed Patents to make, use, sell, offer to sell, import
136and otherwise transfer the Contribution of such Contributor, if any, in source
137code and object code form. This patent license shall apply to the combination
138of the Contribution and the Program if, at the time the Contribution is added
139by the Contributor, such addition of the Contribution causes such combination
140to be covered by the Licensed Patents. The patent license shall not apply to
141any other combinations which include the Contribution. No hardware per se is
142licensed hereunder. </span></p>

144<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">c)
145Recipient understands that although each Contributor grants the licenses to its
146Contributions set forth herein, no assurances are provided by any Contributor
147that the Program does not infringe the patent or other intellectual property
148rights of any other entity. Each Contributor disclaims any liability to Recipient
149for claims brought by any other entity based on infringement of intellectual
150property rights or otherwise. As a condition to exercising the rights and
151licenses granted hereunder, each Recipient hereby assumes sole responsibility
152to secure any other intellectual property rights needed, if any. For example,
153if a third party patent license is required to allow Recipient to distribute
154the Program, it is Recipient's responsibility to acquire that license before
155distributing the Program.</span></p>

157<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">d)
158Each Contributor represents that to its knowledge it has sufficient copyright
159rights in its Contribution, if any, to grant the copyright license set forth in
160this Agreement. </span></p>

162<p><b><span style="font-size: 10pt;">3. REQUIREMENTS</span></b> </p>

164<p><span style="font-size: 10pt;">A Contributor may choose to distribute the
165Program in object code form under its own license agreement, provided that:</span>

168<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">a)
169it complies with the terms and conditions of this Agreement; and</span></p>

171<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">b)
172its license agreement:</span></p>

174<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">i)
175effectively disclaims on behalf of all Contributors all warranties and
176conditions, express and implied, including warranties or conditions of title
177and non-infringement, and implied warranties or conditions of merchantability
178and fitness for a particular purpose; </span></p>

180<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">ii)
181effectively excludes on behalf of all Contributors all liability for damages,
182including direct, indirect, special, incidental and consequential damages, such
183as lost profits; </span></p>

185<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">iii)
186states that any provisions which differ from this Agreement are offered by that
187Contributor alone and not by any other party; and</span></p>

189<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">iv)
190states that source code for the Program is available from such Contributor, and
191informs licensees how to obtain it in a reasonable manner on or through a
192medium customarily used for software exchange.<span style="color: blue;"> </span></span></p>

194<p><span style="font-size: 10pt;">When the Program is made available in source
195code form:</span> </p>

197<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">a)
198it must be made available under this Agreement; and </span></p>

200<p class="MsoNormal" style="margin-left: 0.5in;"><span style="font-size: 10pt;">b) a
201copy of this Agreement must be included with each copy of the Program. </span></p>

203<p><span style="font-size: 10pt;">Contributors may not remove or alter any
204copyright notices contained within the Program. </span></p>

206<p><span style="font-size: 10pt;">Each Contributor must identify itself as the
207originator of its Contribution, if any, in a manner that reasonably allows
208subsequent Recipients to identify the originator of the Contribution. </span></p>

210<p><b><span style="font-size: 10pt;">4. COMMERCIAL DISTRIBUTION</span></b> </p>

212<p><span style="font-size: 10pt;">Commercial distributors of software may
213accept certain responsibilities with respect to end users, business partners
214and the like. While this license is intended to facilitate the commercial use
215of the Program, the Contributor who includes the Program in a commercial
216product offering should do so in a manner which does not create potential
217liability for other Contributors. Therefore, if a Contributor includes the
218Program in a commercial product offering, such Contributor ("Commercial
219Contributor") hereby agrees to defend and indemnify every other
220Contributor ("Indemnified Contributor") against any losses, damages and
221costs (collectively "Losses") arising from claims, lawsuits and other
222legal actions brought by a third party against the Indemnified Contributor to
223the extent caused by the acts or omissions of such Commercial Contributor in
224connection with its distribution of the Program in a commercial product
225offering. The obligations in this section do not apply to any claims or Losses
226relating to any actual or alleged intellectual property infringement. In order
227to qualify, an Indemnified Contributor must: a) promptly notify the Commercial
228Contributor in writing of such claim, and b) allow the Commercial Contributor
229to control, and cooperate with the Commercial Contributor in, the defense and
230any related settlement negotiations. The Indemnified Contributor may participate
231in any such claim at its own expense.</span> </p>

233<p><span style="font-size: 10pt;">For example, a Contributor might include the
234Program in a commercial product offering, Product X. That Contributor is then a
235Commercial Contributor. If that Commercial Contributor then makes performance
236claims, or offers warranties related to Product X, those performance claims and
237warranties are such Commercial Contributor's responsibility alone. Under this
238section, the Commercial Contributor would have to defend claims against the
239other Contributors related to those performance claims and warranties, and if a
240court requires any other Contributor to pay any damages as a result, the
241Commercial Contributor must pay those damages.</span> </p>

243<p><b><span style="font-size: 10pt;">5. NO WARRANTY</span></b> </p>

245<p><span style="font-size: 10pt;">EXCEPT AS EXPRESSLY SET FORTH IN THIS
246AGREEMENT, THE PROGRAM IS PROVIDED ON AN "AS IS" BASIS, WITHOUT
247WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING,
248WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT,
249MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely
250responsible for determining the appropriateness of using and distributing the
251Program and assumes all risks associated with its exercise of rights under this
252Agreement , including but not limited to the risks and costs of program errors,
253compliance with applicable laws, damage to or loss of data, programs or
254equipment, and unavailability or interruption of operations. </span></p>

256<p><b><span style="font-size: 10pt;">6. DISCLAIMER OF LIABILITY</span></b> </p>

258<p><span style="font-size: 10pt;">EXCEPT AS EXPRESSLY SET FORTH IN THIS
259AGREEMENT, NEITHER RECIPIENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR
260ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES
261(INCLUDING WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY
262OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
263NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF
264THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF
265THE POSSIBILITY OF SUCH DAMAGES.</span> </p>

267<p><b><span style="font-size: 10pt;">7. GENERAL</span></b> </p>

269<p><span style="font-size: 10pt;">If any provision of this Agreement is invalid
270or unenforceable under applicable law, it shall not affect the validity or
271enforceability of the remainder of the terms of this Agreement, and without
272further action by the parties hereto, such provision shall be reformed to the
273minimum extent necessary to make such provision valid and enforceable.</span> </p>

275<p><span style="font-size: 10pt;">If Recipient institutes patent litigation
276against any entity (including a cross-claim or counterclaim in a lawsuit)
277alleging that the Program itself (excluding combinations of the Program with
278other software or hardware) infringes such Recipient's patent(s), then such
279Recipient's rights granted under Section 2(b) shall terminate as of the date
280such litigation is filed. </span></p>

282<p><span style="font-size: 10pt;">All Recipient's rights under this Agreement
283shall terminate if it fails to comply with any of the material terms or
284conditions of this Agreement and does not cure such failure in a reasonable
285period of time after becoming aware of such noncompliance. If all Recipient's
286rights under this Agreement terminate, Recipient agrees to cease use and
287distribution of the Program as soon as reasonably practicable. However,
288Recipient's obligations under this Agreement and any licenses granted by
289Recipient relating to the Program shall continue and survive. </span></p>

291<p><span style="font-size: 10pt;">Everyone is permitted to copy and distribute
292copies of this Agreement, but in order to avoid inconsistency the Agreement is
293copyrighted and may only be modified in the following manner. The Agreement
294Steward reserves the right to publish new versions (including revisions) of
295this Agreement from time to time. No one other than the Agreement Steward has
296the right to modify this Agreement. The Eclipse Foundation is the initial
297Agreement Steward. The Eclipse Foundation may assign the responsibility to
298serve as the Agreement Steward to a suitable separate entity. Each new version
299of the Agreement will be given a distinguishing version number. The Program
300(including Contributions) may always be distributed subject to the version of
301the Agreement under which it was received. In addition, after a new version of
302the Agreement is published, Contributor may elect to distribute the Program
303(including its Contributions) under the new version. Except as expressly stated
304in Sections 2(a) and 2(b) above, Recipient receives no rights or licenses to
305the intellectual property of any Contributor under this Agreement, whether
306expressly, by implication, estoppel or otherwise. All rights in the Program not
307expressly granted under this Agreement are reserved.</span> </p>

309<p><span style="font-size: 10pt;">This Agreement is governed by the laws of the
310State of New York and the intellectual property laws of the United States of
311America. No party to this Agreement will bring a legal action under this
312Agreement more than one year after the cause of action arose. Each party waives
313its rights to a jury trial in any resulting litigation.</span> </p>
